Welcome to ComplyX, a compliance management platform owned and operated by Odento Infolabs Pvt Ltd ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the ComplyX website, mobile applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services. If you are using the Services on behalf of a company, organization, or other entity, you represent that you have the authority to bind such entity to these Terms.

2. Definitions

"Account" means a unique account created for you to access our Services.
"Platform" means the ComplyX website, mobile applications, and other digital interfaces.
"Content" means any information, data, text, software, graphics, messages, or other materials.
"User" means an individual who accesses or uses the Services.
"Professional" means company secretaries, chartered accountants, or other compliance professionals using the platform.

3. Eligibility

To use the Services, you must be at least 18 years of age and able to form legally binding contracts. If you are accessing the Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

4. Account Registration

To access certain features of the Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and your company. You are responsible for safeguarding your account credentials and for any activities or actions under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this provision.

5. Platform Usage

5.1 Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations;
• Infringe upon the rights of others;
• Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;

• Attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks.

5.2 Professional Services

The ComplyX platform connects companies with company secretaries, chartered accountants, and other compliance professionals. We do not provide professional services ourselves, and we are not responsible for the quality, accuracy, or reliability of any services provided by professionals through our platform.

6. Subscription and Payments

Some features of our Services may require payment of fees. By subscribing to a paid plan, you agree to pay all fees in accordance with the pricing and payment terms presented to you for that subscription. You authorize us to charge your designated payment method for these fees.

All subscriptions will automatically renew for the same subscription period unless cancelled before the renewal date. You can manage and cancel your subscription through your account settings.

All fees are exclusive of applicable taxes, which may be added to the amount charged. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services and its original content, features, and functionality are owned by Odento Infolabs Pvt Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not modify, reproduce, distribute, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from our Services without our prior written consent.

7.2 Your Content

You retain ownership of any content you submit, post, or display on or through the Services. By submitting, posting, or displaying content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute such content for the purpose of providing and promoting the Services.

We do not warrant that: (a) the Services will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ODENTO INFOLABS PVT LTD, ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Odento Infolabs Pvt Ltd, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Services using your account.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Mumbai, Maharashtra, India.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
